Welcome to BuildingTide.com (“Building Tide,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, mobile application, and related services (collectively, the “Platform”). By accessing or using Building Tide, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.

Building Tide is a peer-to-peer marketplace designed to help users in The Bahamas and surrounding regions buy, sell, or trade surplus or used construction materials, tools, fixtures, furniture, and related items. We provide the digital platform for listings, communication, and transactions but we are not a direct buyer, seller, or agent in any transaction.

  1. Eligibility

To use Building Tide, you must: • Be at least 18 years old or the age of majority in your jurisdiction. • Have the legal capacity to enter into binding agreements. • Provide accurate and up-to-date account information.

If you create an account on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

User Accounts • You must register for an account to list, buy, or message other users. • You are responsible for maintaining the confidentiality of your login information. • You agree not to share your password or access another person’s account without authorization. • You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are associated with fraudulent activity.

  1. Marketplace Listings

Users may create listings for items such as tools, materials, furniture, or equipment that they wish to sell or trade. When creating a listing, you agree that: • You own the item or have legal rights to sell it. • Your description, price, and photos are accurate and truthful. • You will comply with all applicable laws and regulations. • You will remove or update listings once items are sold or unavailable.

Building Tide reserves the right to edit, remove, or restrict listings that are misleading, unsafe, illegal, or inconsistent with our policies.

  1. Prohibited Items

The following items are not permitted on Building Tide: • Hazardous materials, chemicals, or asbestos-containing products. • Stolen, counterfeit, or restricted goods. • Weapons, explosives, or controlled substances. • Any item that violates Bahamian or international trade laws.

We may remove listings or suspend accounts that attempt to sell restricted items.

Transactions and Payments • Buyers and sellers are solely responsible for negotiating terms and completing transactions. • Building Tide may offer payment integrations (e.g., credit card, PayPal, bank transfer) through third-party providers. • All payment processing is subject to the terms and policies of those providers. • Building Tide is not a party to transactions between users and does not guarantee payment, delivery, or condition of any item.

Fees (such as listing or transaction commissions) will be disclosed before any charge is applied.

  1. Communication Between Users

The Platform includes a messaging feature for users to coordinate transactions. You agree to: • Use messaging only for lawful, marketplace-related purposes. • Not send spam, solicitations, or offensive content. • Not exchange personal or payment information outside the Platform in ways that undermine trust or safety.

Building Tide may monitor communications to ensure compliance with these rules.

  1. Shipping, Delivery, and Pickup

Users are responsible for arranging logistics related to purchased or traded items. Building Tide does not provide transportation services but may offer optional integrations with delivery partners in the future. Any disputes over delivery or condition of items must be resolved directly between buyer and seller.

  1. Cancellations and Refunds

Transactions are between users. Building Tide does not issue refunds on behalf of sellers. However, we may assist in dispute resolution where: • There is evidence of fraud or misrepresentation. • Payment was processed through our integrated system. • The issue is reported within 7 days of the transaction.

  1. User Conduct

You agree not to: • Violate any laws or third-party rights. • Post false, deceptive, or harmful information. • Engage in fraud, spam, or abusive behavior. • Attempt to access the Platform through unauthorized means or disrupt its functionality.

Violation of these Terms may result in suspension or permanent account removal.

  1. Fees and Taxes

Certain services may include fees (e.g., featured listings, transaction commissions, or memberships). Users are responsible for: • Paying applicable fees and taxes related to their sales or purchases. • Reporting income or transactions to local authorities where required.

  1. Intellectual Property

All content and materials on Building Tide — including the name, logo, design, and text — are owned by Building Tide Ltd. or licensed for use. You may not reproduce, modify, or distribute any part of the Platform without prior written permission.

  1. Limitation of Liability

Building Tide provides the Platform “as is” and “as available.” We make no warranties regarding the accuracy, reliability, or availability of the Platform. To the fullest extent permitted by law, Building Tide shall not be liable for: • Lost profits or indirect damages. • Disputes between users. • Injuries, damages, or losses arising from items bought, sold, or traded.

Your sole remedy for dissatisfaction with the Platform is to stop using it.

You agree to indemnify and hold harmless Building Tide, its founders, officers, employees, and partners from any claim, loss, liability, or expense arising from: • Your use of the Platform, • Violation of these Terms, or • Infringement of third-party rights.

Our collection and use of personal data are governed by our Privacy Policy, which forms part of these Terms. By using Building Tide, you consent to our handling of your information in accordance with that policy.

These Terms are governed by and interpreted under the laws of The Commonwealth of The Bahamas. Any disputes shall be resolved in the competent courts of Nassau, Bahamas.
